Holisbyte Technology Solutions ("Company") provides software development, consulting, and technology services as described on our website. We reserve the right to modify, suspend, or discontinue services at any time with notice.

3. User Responsibilities

You agree to:

• Provide accurate and complete information in all submissions
• Maintain confidentiality of login credentials and account information
• Use services only for lawful purposes and in compliance with all applicable laws
• Not transmit viruses, malware, or unauthorized code
• Not attempt to gain unauthorized access to systems or networks
• Not reproduce, duplicate, or copy content without permission
• Not engage in harassment, abuse, or unlawful conduct

4. Intellectual Property Rights

All content on our website, including text, graphics, logos, images, and software, is the property of Holisbyte or its content suppliers and is protected by international copyright laws.

Client Work: Upon full payment, intellectual property rights for custom development work transfer to the client as specified in the Service Agreement.

5. Limitation of Liability

IN NO EVENT SHALL HOLISBYTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of data, revenue, profits, or business opportunity
• Service interruption or data loss
• Damages exceeding the amount paid for services

This limitation applies regardless of the cause of action and whether based on warranty, contract, tort, or any other legal theory.

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free service
• Compatibility with all systems or applications

7. Payment and Billing

7.1 Payment Terms

Payment terms are specified in the Service Agreement. Invoices are due within 30 days of issuance unless otherwise agreed. Late payments may incur interest at 1.5% per month or the maximum allowed by law.

7.2 Service Suspension

We reserve the right to suspend services for non-payment after providing written notice and a reasonable cure period.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during service delivery. This obligation survives termination of the Service Agreement for a period of 3 years.

9. Termination

Either party may terminate the Service Agreement with written notice as specified in the agreement. Upon termination:

• Payment obligations for services rendered remain due
• Client retains access to deliverables unless otherwise agreed
• Support services cease unless separately contracted

10. Indemnification

You agree to indemnify and hold harmless Holisbyte, its officers, directors, employees, and agents from any claims, damages, or expenses (including attorney fees) arising from:

• Your violation of these terms
• Your use of our services
• Your infringement of third-party rights
• Any unlawful conduct

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India, and you irrevocably submit to the exclusive jurisdiction of the courts located in India.

12. Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiation. If unresolved after 30 days, either party may pursue arbitration or legal action as specified in the Service Agreement.

13. Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations. We comply with applicable data protection laws including GDPR, CCPA, and Indian data protection regulations.

14. Modifications to Terms

We reserve the right to modify these terms at any time. Changes are effective immediately upon posting. Your continued use of services constitutes acceptance of modified terms.

15. Entire Agreement

These Terms of Service, along with our Privacy Policy and any Service Agreement, constitute the entire agreement between you and Holisbyte and supersede all prior agreements and understandings.
